This website (caddieflow.net) and its related intelligent rental platform, including all information, content, features, tools, products, and services available from this site, are operated and offered by CADDIE FLOW (HK) LIMITED. Throughout the site, the terms "we", "us" and "our" refer to CADDIE FLOW (HK) LIMITED. We provide an autonomous golf caddie cart leasing solution and integrated technical experience to you, the user (including customers, partner golf courses, and players), conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

This platform and online infrastructure are technically hosted and supported by Shopify Inc., which enables us to provide this digital interface to you.

The following terms and conditions, along with any policies referenced herein (collectively referred to as the "Terms of Service" or "Terms"), govern your rights and responsibilities when using our Service. Please read these Terms of Service carefully before accessing or using our website. By accessing, browsing, or interacting with any part of the Service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to all the terms and conditions of this agreement, you are prohibited from accessing the website or using any services.

SECTION 1 - ACCESS AND ACCOUNT ELIGIBILITY

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or country of residence. To access certain parts of the Service, including our online booking system, on-course QR-code scanning, or utilizing our autonomous caddie cart rental hardware, you may be required to provide specific personal details, such as your email address, phone number, billing information, and payment credentials. You warrant that all information provided is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may not transfer, sell, assign, or sublicense your account to any third party.

SECTION 2 - DESCRIPTION OF SMART HARDWARE & RENTAL SERVICES

We endeavor to display the technical specifications, features, parameters, and rental rates of our autonomous tracking golf caddie carts as accurately as possible on our web platform and at partner golf courses. However, we do not warrant that the physical appearance, color, or minor design details of the rented equipment will exactly match what is displayed on your screen. We reserve the right, at our sole discretion, to modify descriptions of hardware features or rental rates at any time without prior notice. We reserve the right to discontinue or modify any technical service or leasing arrangement at any time, and may limit the provision of services or equipment quantities to any person, geographic region, or specific golf course on a case-by-case basis.

SECTION 3 - BOOKINGS AND RENTAL ORDERS

When you submit a rental reservation through our digital terminal or app system, it constitutes a booking offer. CADDIE FLOW (HK) LIMITED reserves the right, in its sole discretion, to accept or decline your rental reservation for any legitimate operational reason. A booking order is not formally accepted until confirmed by our system portal. Full payment must be received and successfully processed before we secure and lock an autonomous cart for your designated timeslot at the course. Please review your scheduled tee time carefully before submission; cancellations and refunds are strictly governed by our Refund & Cancellation Policy. Your rental and equipment use are strictly restricted to your personal play on the course and shall not be used for any unauthorized commercial resale, subleasing, or ticket-scalping.

SECTION 4 - PRICING AND BILLING TRANSPARENCY

Rental rates, seasonal discounts, and promotional offers are subject to change without prior notice. The fees charged for our services will be based on the valid rates published at the exact time you submit your order. Unless otherwise expressly specified (such as explicitly stating the inclusion of local New Zealand 15% GST), our published international base rates do not include specific local taxes or municipal levies that may arise. You agree to provide current, complete, and accurate purchase, payment, and account information for all bookings made through our platform. You agree to promptly update your account and other financial details, including your email address, credit card numbers, and expiration dates, so that we can successfully process your transactions and contact you as needed.

SECTION 5 - ON-COURSE HARDWARE DELIVERY AND OPERATIONAL SAVINGS

Given that this Service consists of physical, on-site smart hardware rentals, it does not involve routine cross-border parcel shipping, international express couriers, or physical home delivery. All autonomous golf caddie carts are delivered, provisioned, and handed over directly to you on-site at your pre-booked partner golf course. For any service delays, software interruptions, or hardware delivery failures caused by force majeure events (such as severe weather course closures, regional power outages) or events beyond our reasonable control, we will fully assist the golf course management to provide you a complimentary rain-check rescheduling or process a full refund according to our Refund & Cancellation Policy. We bear no further consequential or incidental liability.

SECTION 6 - INTELLECTUAL PROPERTY AND PATENT PROTECTION

Our Service, including but not limited to the CaddieFlow brand name, trademarks, proprietary software, texts, graphics, autonomous radar-tracking video demonstrations, SaaS interface designs, data charts, and their overall arrangement and layout, are the exclusive property of CADDIE FLOW (HK) LIMITED, its affiliates, or its licensors. They are strictly protected under the laws of the Hong Kong Special Administrative Region, New Zealand, and international patent, copyright, and intellectual property treaties. Without our express prior written consent, no person or entity may reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any intellectual property contained within this Service.

SECTION 7 - OPTIONAL TOOLS AND THIRD-PARTY LINKS

As part of the Service, you may be granted access to third-party digital tools or hyperlinks, such as third-party club management software or map navigation APIs. We neither monitor nor have any control or input over these external tools and websites. Your use of third-party infrastructure is entirely at your own risk. Before engaging in any transactions, please carefully review the terms, privacy practices, and operational policies of the respective third-party providers.

SECTION 8 - RELATIONSHIP WITH SHOPIFY

Our web infrastructure and payment gateway interface are technically hosted and managed by Shopify Inc. However, any rental agreement, hardware lease, or transaction executed on our platform is entered into directly between you and CADDIE FLOW (HK) LIMITED. You acknowledge and agree that Shopify Inc. bears absolutely no responsibility or liability for any aspect of the rental service sales, hardware utilization, or any injuries, damages, or losses arising from your physical use of the autonomous carts.

SECTION 9 - PRIVACY POLICY INTEGRATION

All personal data, telemetry metrics, and payment details collected through your use of the Service are strictly governed by our Privacy Policy. By interacting with the Service, you acknowledge that you have read and consent to all data processing practices outlined in our Privacy Policy.

SECTION 10 - PROHIBITED USES

You are granted access to the Service solely for lawful golfing activities and legitimate authorized commercial collaborations. You are strictly prohibited from using the site, its software, or physical hardware: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, local, or municipal regulations, ordinances, and tax laws; (c) to infringe upon or violate our intellectual property rights or the rights of others; (d) to submit false or misleading information; (e) to upload, transmit, or inject viruses, malware, or any malicious code that may compromise the software functionality, radar obstacle avoidance systems, or hardware operation of the autonomous carts; or (f) to interfere with, bypass, or circumvent the security mechanisms or access controls of our platform. If we determine that you have violated any prohibited use, we reserve the right to immediately suspend, deactivate, or terminate your account and deny you on-course physical hardware rentals.

SECTION 11 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent, or warrant that your use of our service or online booking portal will be completely uninterrupted, timely, secure, or error-free. To the maximum extent permitted by applicable law, CADDIE FLOW (HK) LIMITED, our directors, officers, employees, affiliates, agents, or service providers shall not be held liable for any personal injury, accidental physical damage, special, incidental, punitive, or consequential damages of any kind arising from your use of the service or physical hardware on the golf course, unless such damage is directly and exclusively caused by a proven, material inherent manufacturing defect of our equipment.

SECTION 12 - SEVERABILITY AND WAIVER

In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions. Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

SECTION 13 - GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by, construed, and enforced in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), where the corporate headquarters of CADDIE FLOW (HK) LIMITED is legally registered.
